These terms govern your use of the Strandwell website and the provision of our consulting services. Please read them carefully before engaging with us.

01 / ACCEPTANCE

Acceptance of Terms

By accessing or using the Strandwell website at strandwell.info, or by engaging Strandwell for consulting services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our website or engage our services.

These terms apply to all visitors, users, and clients of Strandwell. They should be read alongside our Privacy Policy and Cookie Policy.


02 / SERVICES

Description of Services

Strandwell is a business consulting firm based in Bangsar, Kuala Lumpur. We provide advisory and consulting services in the following areas:

  • Brand Positioning Strategy
  • Market Differentiation Advisory
  • Communications Architecture

The specific scope, deliverables, timeline, and fees applicable to any consulting engagement are set out in a written proposal or engagement letter agreed between Strandwell and the client prior to commencement.

Strandwell reserves the right to decline or discontinue any engagement at its sole discretion, and to modify the scope of services in response to changed circumstances with client agreement.


03 / ENGAGEMENTS

Consulting Engagements

A consulting engagement begins when both Strandwell and the client have agreed in writing to the scope of work, fees, and timeline. Engagement letters or proposals constitute binding agreements when accepted.

Clients are expected to:

  • Provide timely access to the information, personnel, and materials reasonably required to conduct the engagement
  • Nominate a point of contact who is authorised to give instructions and provide sign-offs on behalf of their organisation
  • Review and respond to deliverables within the timelines agreed in the engagement scope

Delays attributable to the client may affect the project timeline and could result in revised delivery dates. Strandwell will communicate any such impacts promptly.


04 / FEES

Fees and Payment

Fees for consulting services are specified in the engagement letter or proposal. All fees are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise.

Standard payment terms are as follows:

  • A deposit of 50% of the total engagement fee is due upon acceptance of the proposal
  • The remaining balance is due upon delivery of the final deliverable
  • Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing

Strandwell reserves the right to suspend work on an engagement where payment is overdue by more than 14 days. Late payments may be subject to interest at the rate prevailing under Malaysian law. Fees paid are non-refundable except where Strandwell is unable to complete the engagement due to its own default.


05 / INTELLECTUAL PROPERTY

Intellectual Property

Upon receipt of full payment for a consulting engagement, Strandwell grants the client a non-exclusive, perpetual licence to use the deliverables produced under that engagement for internal business purposes.

Strandwell retains ownership of all methodologies, frameworks, templates, tools, and background intellectual property used in the production of deliverables. Nothing in these terms transfers ownership of Strandwell's proprietary methods to the client.

All content on the Strandwell website — including text, design elements, graphics, and structure — is the intellectual property of Strandwell and may not be reproduced, adapted, or distributed without prior written permission.


06 / CONFIDENTIALITY

Confidentiality

Both parties acknowledge that they may receive confidential information from the other in the course of an engagement. Each party agrees to:

  • Keep confidential information secure and not disclose it to any third party without prior written consent
  • Use confidential information solely for the purposes of the engagement
  • Limit access to confidential information to those who need it to carry out their responsibilities

Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law or court order.

Strandwell may reference a client's name and the general nature of an engagement in marketing materials or portfolio descriptions, unless the client has expressly requested otherwise in writing.


07 / LIABILITY

Limitation of Liability

Strandwell's consulting deliverables represent professional advice and analysis. They do not constitute legal, financial, regulatory, or accounting advice. Clients remain solely responsible for the decisions they make based on Strandwell's recommendations.

To the extent permitted under Malaysian law, Strandwell's total liability to a client in connection with any engagement shall not exceed the total fees paid by the client under that engagement.

Strandwell shall not be liable for any indirect, consequential, incidental, or special damages arising from the use of our services or website, including loss of revenue, loss of profit, or loss of business opportunity.

Nothing in these terms excludes or limits liability for fraud, death, or personal injury caused by negligence.


08 / WEBSITE USE

Website Use

You may use the Strandwell website for lawful purposes only. You agree not to:

  • Use the website in any way that disrupts its operation or security
  • Attempt to gain unauthorised access to any part of the website or its underlying systems
  • Use automated tools to scrape, index, or harvest data from the website without written permission
  • Transmit any content that is unlawful, harmful, or otherwise objectionable

Strandwell reserves the right to restrict access to the website at any time and without notice. The website is provided on an "as is" basis. We make no warranty that it will be uninterrupted or free from errors.



10 / TERMINATION

Termination

Either party may terminate a consulting engagement by providing written notice to the other. In the event of early termination:

  • The client shall pay for all work completed up to the date of termination, calculated on a pro-rata basis against the agreed engagement fee
  • Strandwell shall deliver any completed work product to the client within a reasonable timeframe
  • Any outstanding invoices become immediately due and payable upon termination

Strandwell may terminate an engagement immediately and without liability if the client is in material breach of these terms and fails to remedy the breach within 14 days of written notice.


11 / GOVERNING LAW

Governing Law and Jurisdiction

These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia.

Any dispute arising from or in connection with these terms, the Strandwell website, or any consulting engagement shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

Both parties agree to attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.
